DoNotSell – Terms of Use, Reporting Policy, and Notice-and-Takedown Procedure

Effective Date: 11th September, 2025

By downloading, accessing, or using the DoNotSell application (“DoNotSell,” “Platform,” “App,” “Service”), you agree to be legally bound by this Agreement. If you do not agree, you must discontinue use immediately.

1. Nature of the Platform

DoNotSell is a user-generated vendor reporting, item listing and consumer awareness platform that allows users to submit, view, and search reports relating to vendors, individuals, and items.

All reports published on the Platform are allegations submitted by users for informational and consumer-awareness purposes only.

DoNotSell:

  • Does not independently verify all user submissions
  • Does not guarantee the accuracy, completeness, or reliability of any report
  • Does not make legal determinations regarding fraud, criminal conduct, or wrongdoing
  • Operates solely as an intermediary providing information submitted by users

Use of the Platform is at your own risk.

2. User-Generated Content Responsibility

Users are solely responsible for any information, reports, listings, comments, images, or other materials they submit (“User Content”).

By submitting content, you represent and warrant that:

  • The information is based on your genuine experience or reasonable belief
  • The content is not intentionally false, defamatory, misleading, malicious, or unlawful
  • You accept full legal responsibility for your submission
  • You understand that submitting false reports may expose you to civil or criminal liability

DoNotSell does not adopt, endorse, or assume responsibility for user-submitted content.

3. Platform Non-Liability for Reports and Listings

To the fullest extent permitted by law, DoNotSell shall not be liable for:

  • False, inaccurate, incomplete, or defamatory reports submitted by users
  • Reputational damage, business losses, or financial losses suffered by vendors or individuals listed on the Platform
  • Fraudulent listings created by third parties
  • Any transaction or interaction between users and vendors
  • Any reliance placed on information appearing on the Platform

The Platform functions strictly as an information-sharing intermediary.

4. Vendor Dispute, Investigation, and Removal Procedure

Any vendor, individual, or item owner who believes they have been wrongfully listed may submit a dispute request to:

The request must include:

  • Identification of the disputed listing
  • Evidence supporting the dispute
  • Contact details for communication

Upon receiving a dispute:

  • DoNotSell may conduct an internal review at its sole discretion
  • Additional evidence may be requested from either party
  • The Platform may remove, edit, restrict, or retain the listing based on its internal assessment

Submission of a dispute does not guarantee removal, and all decisions remain at the sole discretion of DoNotSell.

5. Notice-and-Takedown Procedure (Defamation / Abuse Complaints)

If any person or entity believes that content published on the Platform is false, defamatory, abusive, fraudulent, or unlawfully submitted, a formal Notice-and-Takedown Request must be sent to:

The notice must include:

  • Full name of the complainant
  • Identification of the listing or report
  • Reason for the complaint
  • Supporting documentation or evidence
  • A declaration that the information provided is accurate

Upon receipt:

  • DoNotSell may temporarily restrict the content during review
  • Both the reporting user and complainant may be contacted
  • Content may be retained, edited, or removed at DoNotSell’s sole discretion
6. Wrongful or Fraudulent Listings

DoNotSell is not responsible for listings created by users.
If a listing is submitted fraudulently, incorrectly, or maliciously, the affected party must notify the Platform using the dispute or takedown process for investigation.

7. Indemnification

You agree to indemnify, defend, and hold harmless DoNotSell, its founders, directors, employees, affiliates, and partners from any claims, liabilities, damages, losses, legal actions, or expenses (including legal fees) arising from:

  • Your submitted content
  • Any false or defamatory report submitted by you
  • Your misuse of the Platform
  • Your violation of this Agreement
  • Any dispute between you and a third party
8. Limitation of Liability

To the maximum extent permitted by applicable law, DoNotSell shall not be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, business opportunities, or reputation
  • Third-party claims arising from user-generated content
  • Losses resulting from reliance on platform information
9. Account Suspension and Content Control

DoNotSell reserves the right, at its sole discretion, to:

  • Remove or restrict any content
  • Suspend or terminate user accounts
  • Limit access to the Platform

Where users violate this Agreement or submit abusive, fraudulent, malicious, or unlawful reports.

10. Intellectual Property

All logos, branding, platform design, software, and proprietary features of DoNotSell (excluding user-generated content) are the intellectual property of DoNotSell and may not be copied, reproduced, or distributed without written permission.

11. Amendments

DoNotSell may update or modify this Agreement at any time. Continued use of the Platform after updates constitutes acceptance of the revised terms.

12. Governing Law and Jurisdiction

This Agreement shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria, and any disputes shall be subject to the exclusive jurisdiction of the competent courts within Nigeria.
